P27-Bulk Sale

                        
27.1  Seller represents to Buyer that the Sale of the Property is not being
made in connection with a bulk sale of inventory, and Seller agrees to
indemnify and hold Buyer harmless from and against all losses, damages, claims
and expenses (including reasonable attorney's fees) arising out of or
attributable to Seller's noncompliance with the bulk sale provisions of the
(State) Revised Statutes.
