P26-Invalidity

                        
26.1  In case any one or more of the provisions (or portions thereof) contained
within this agreement shall, for any reason, be held to be invalid, illegal or
legally unenforceable, in any respect, such invalidity, illegality or
unenforceability shall not affect any other portion of that provision or any
other provision hereof (whether or not clearly divisible from such provision 
or portion thereof), and this agreement shall be construed and interpreted in 
the manner which is valid, legal and legally enforceable and which is most 
nearly consistent with the intention of the parties evidenced in this 
agreement.

Objective Form
     The objective form provides that the agreement will continue regardless 
of the invalidity or illegality of any provision or any portion of a pro-
vision. It does not follow the "blue line" rule where valid provisions of an
agreement are retained only where clearly separable (historically, by drawing
a "blue line" through the provision) from the remainder of the provision.
     In interpreting what remains, the objective form opts for an 
interpretation which is valid and most nearly that intended by the parties.



Alternatives
     Rather than interpreting the remnants of the agreement in a manner most
consistent with the intent of the parties, which might require an 
interpretation of numerous provision in order to ascertain that intent, the
following change in the form would require a more simple construction:
          "and this agreement shall be construed as if such invalid, illegal or
          unenforceable provision had never been contained herein."
