P19-Broker's Commission

                        
Objective Form
     
19.1  The Seller (Buyer) agrees to pay a broker's commission in the amount of
$_________ to ___________, _____________________________ of __________________,
__________________.

19.2  Seller and Buyer each represent and warrant to the other that no broker,
salesman or finder has been engaged by it in connection with the transaction
contemplated by this agreement other than the Broker indicated in 19.1.  In
the event of any claim for any broker's finder's fee or commission (other than
that set forth in 19.1) in connection with the negotiation, execution or
consummation of this agreement, each party shall defend, indemnify and save
harmless the other, from and against any such claim if it should be based upon
any statement, representation or agreement proved to have been made by it.




Comment
     The objective form provides for cross-indemnification of the parties by
each other where either of their actions has resulted in a claim for a
commission by a broker other than the broker, if any, named in the agreement.
