P01-Description of Property

                        

Objective Form
01.1  The real estate of the Seller which is the subject of this
     Agreement, referred to herein as the "Property" or the
     Premises", consists of _________________ parcel(s) of land
     having a total of __________ acres, the boundaries of which
     are more fully described in Exhibit "A", attached hereto and
     made a part hereof, together with all fixtures and improve-
     ments thereon and appurtenances thereto.
01.2  The Premises further consists of certain personal property
     owned by Seller as described in Exhibit "B", attached hereto
     and incorporated by this reference herein.

Alternatives
  Where use of the property conveyed is dependent upon the ex-
istence of easements-en-grosse  (as opposed to appurtenent
easements) licenses or other "incorporeal heraditaments" (non-
property rights to the use of another's property), which are not
automatically transferrable by virtue of a sale of the land bene-
fitted by those rights, the following provision should be added.


          01.3  The Premises further consists of the following
              described easements, licenses and other rights
              running to the benefit of the Seller:
                  (a)

                  (c)

Where the property contains a multitude of personal property or
fixtures and the parties desire only to inventory those items to
be excluded, the following clause may be used:
"The Property shall include all personal property, fixtures and
improvements on the real estate described excepting, however,
those items specifically described in Exhibit "B" attached hereto
and incorporated by this reference herein, which items shall have
been removed from the Property prior to closing."
