32. BROKERS
Landlord and Tenant hereto represent and warrant to each other
that it has dealt with no broker or agent in connection with the
negotiations or the consummation of this Lease or any arrangements
with respect thereto except the individual, partnership or corporation
designated in Item 22 of the Term Sheet. Landlord and Tenant agree
to indemnify and save harmless the other from and against all
liabilities and expenses (including, without limitation, counsel
fees and disbursements in defending against such liabilities),
which may accrue by reason of, on account of, or growing out of
or resulting from breach by such party of such warranty and representation.
Landlord shall pay any brokerage commissions due the individual,
partnership or corporation designated in Item 22 of the Term Sheet.
