7. USE OF PREMISES
Landlord represents that the Premises lawfully may be used for
the uses specified in Item 18 of the Term Sheet. If any law, ordinance,
ruling, order or regulation of governmental authorities ("Applicable
Laws") now exists or is hereafter enacted prohibiting Tenant's
continued use of the Premises as specified in Item 18 of the Term
Sheet, Tenant, at its option, may terminate this Lease and all
of its liability hereunder shall cease from and after the date
when such Applicable Law(s) becomes effective, and any unearned
Rent and Additional rent paid in advance by Tenant shall be refunded
by Landlord to Tenant.
Tenant shall comply with all Applicable Laws (i) regarding the
physical condition of the Premises, but only to the extent the
Applicable Laws pertain to the particular manner in which Tenant
uses the Premises; or (ii) that do not relate to the physical
condition of the Premises but relate to the lawful use of the
Premises and with which only the occupant can comply, such as
laws governing maximum occupancy and workplace smoking.
