Guaranty. In consideration of the sum of                           and
other good and valuable consideration paid by
(Lessee in the attached lease) to the undersigned,          , receipt
of which is hereby acknowledged, the undersigned hereby guarantees
to                                               , its successors and
assigns (Lessor in the attached lease) the full, prompt and faithful
payment of the rent and the full and complete performance and
discharge by Lessee of each of the provisions and conditions of said
Lease.  This Guaranty shall be an unconditional and continuing
guaranty, it being expressly understood and agreed:

	1.  That no extension of time or waiver nor indulgence granted
by the Lessor to the Lessee shall discharge or release the undersigned
from liability therein.

	2.  That this Guaranty shall continue in full force and effect
for the full term of said lease and extension as provided therein and be
binding upon the undersigned notwithstanding any merger, consolidation,
assignment or any subleasing by Lessee.

	IN WITNESS WHEREOF, the undersigned, pursuant to resolution
of the Board of Directors, duly adopted, has caused this instrument to
be signed in its corporate name and its corporate seal to be attached
hereto, simultaneously with the execution and delivery of the lease to
which the same is attached, this day of         , 19      .
