Real Estate Broker: Lessee represents that the sole broker with whom it
has dealt in this transaction is                                             .
Lessor agrees to pay the brokerage commission incurred by Lessee of
                                            in connection with the initial term
of lease and for any renewals thereof, and shall hold harmless and indemnify
Lessee for an claims or actions arising therefrom.

Brokers:	The parties hereto acknowledge that
were the real estate brokers that represented the parties herein, and that
no commissions are due to any brokers whatsoever.

Brokerage.  Each party warrants to the other that has had no dealings with
any broker or agent in connection with this Lease.

Article - Commissions.  Lessor shall pay the commission of	
its broker in the negotiation of this Agreement and Lease, and shall
indemnify and hold Lessee harmless from and against any claim for
brokerage commissions whether by such broker or others.  Lessee
represents that it has dealt with no other broker with respect to the
Property.
