LANGUAGE, CAPTIONS, HEADINGS


(1)
     Construction of Language:  The terms lease, lease agreement or agreement
shall be inclusive of each other, also to include renewals, extensions or
modifications of the Lease.  Words of any gender used in this Lease shall be
held to include any other gender, and words in the singular shall be held to
include the plural and the plural to include the singular, when the sense
requires.  The paragraph headings and titles are not a part of this Lease and
shall have no effect upon the construction or interpretation of any part 
hereof.

(2)
     Caption:  The parties mutually agree that the heading and captions 
contained in this lease are inserted for convenience or reference only, and are
not to be deemed part of or to be used in construing this lease.

(3)
     Caption:
     (a)  The covenants and agreements herein contained shall, subject to the
provisions of this lease, bind and inure to the benefit of Lessor, its
successors and assigns, and Lessee, its successors and assigns.
     (b)  The words "Lessor" and "Lessee" whenever used in this lease shall be
construed to mean Lessors or Lessees in all cases where there is more than one
lessor or lessee, and the necessary grammatical changes required to make the
provisions hereof apply either to corporations or individuals, men or women,
shall in all cases be assumed as though in each case fully expressed.

(4)
     Article Headings:  The article headings in this lease are inserted only as
a matter of convenience and for reference and in no way define, limit or 
describe the scope or intent of this lease or affect this lease.
     Captions:  Article and paragraph captions are not a part hereof.

(5)
     Whenever in this lease any words of obligation or duty are used, such
words or expressions shall have the same force and effect as though made in the
form of covenants.

(6)
     Article      --Headings.  The headings as to contents of particular
paragraphs and Articles herein are inserted only for convenience and are in no
way to be construed as part of this Agreement and Lease or as a limitation of
the scope of the particular paragraphs to which they refer.

(7)
     Article      --Marginal Notes.  The marginal notes as to contents of
particular paragraphs and Articles herein are inserted only for convenience and
are in no way to be construed as part of this Lease or as a limitation of the
scope of the particular paragraphs to which they refer.

(8)
     Captions.  The captions of this Lease are for convenience only and are not
to be construed as part of this Lease and shall not be construed as defining or
limiting in any way the scope or intent of the provisions hereof.

(9)
     Captions:  The parties mutually agree that the heading and captions
contained in this lease are inserted for convenience of reference only and are
not to be deemed part of or to be used in constructing this lease.

(10)
     Headings.  The headings of the paragraphs of this Lease are intended only
for convenience and are in no way to be construed as a part of this Lease, or
as a limitation on the scope of the particular paragraphs to which they refer.

(11)
     Miscellaneous.  The captions of this Lease are for convenience only and 
are not to be construed as part of this Lease and shall not be construed as
defining or limiting in any way the scope or intent of the provisions hereof.
     If any term or provisions of this Lease shall to any extent be held
invalid or unenforceable, the remaining terms and provisions of this Lease
shall not be affected thereby, but each term and provision of this Lease shall
be valid and be enforced to the fullest extent permitted by law.
     This Lease shall be construed and enforced in accordance with the laws of
the state where the demised premises are located.
