COMPLIANCE WITH LAWS
(1)
Compliance with Laws: Lessee shall promptly comply with all laws,
ordinances, rules and regulations of all Federal, State and Municipal
Governments now in force or that may be enacted hereafter applicable to
Lessee's use and occupancy of the premises. Except that Lessee shall not be
obligated to comply with any law that requires alterations, maintenance, or
restoration to the premises unless the alterations, maintenance, or restoration
are required as a result of Lessee's particular and specific use of the
premises at the time. Lessor shall make any alterations, maintenance, or
restoration to the premises required by such laws that Lessee is not obligated
to make. Lessee shall have the right, however, to contest any such law,
ordinance, rule or regulation by appropriate legal action provided that such
contest is conducted without cost, expense or prejudice to Lessor. Lessee
shall have a similar right to contest any tax, assessment, license levy or
charge which Lessee is obligated to pay under the terms of this lease.
(2)
ORDINANCES AND REGULATIONS: The Lessee hereby covenants and agrees to
comply with all the rules and regulations of the Board of Fire Underwriters,
Officers or Boards of the City, County, or State having jurisdiction over the
leased premises, and with all ordinances and regulations of governmental
authorities wherein the leased premises are located, at Lessee's sole cost and
expense, but only insofar as any of such rules, ordinances and regulations
pertain to the manner in which the Lessee shall use the leased premises; the
obligation to comply in every other case, and also all cases where such rules,
regulations and ordinances require repairs, alterations, changes or additions
to the building (including the leased premises) or building equipment, or any
part of either, being hereby expressly assumed by Lessor, and Lessor covenants
and agrees promptly and duly to comply with all such rules, regulations and
ordinances with which Lessee has not herein expressly agreed to comply.
(3)
Compliance With Laws and Regulations: Lessor shall, at its expense,
comply with or cause to be complied with, all laws, rules, requirements,
directions, orders, ordinances, and regulations, of federal, state, county and
municipal authorities and any direction made pursuant to law, of any public
officer or officers which shall, with respect to the public portions of the
building, or which affect Lessee's use, enjoyment or access, of the demised
premises, impose any violation, order or duty upon Lessor or Lessee.
If Lessee receives written notice of any violation of law, ordinance,
rule, order or regulation applicable to the demised premises, it shall give
prompt notice thereof to Lessor.
Rental payable by Lessee hereunder shall be equitably adjusted any time
during which Lessee's use and enjoyment of the demised premises and
improvements are interrupted or interfered with, directly or indirectly, by any
present or future laws, rules, requirements, orders, directions, ordinances or
regulations of federal, state, county or city governments, or of any other
municipal, governmental or lawful authority whatsoever. Reduction of the
amount of space used by Lessee which is caused by legally required changes in
the construction, equipment, operation, or use of the demised premises shall
entitle Lessee to a reduction or abatement of annual rent, which reduction or
abatement will be based upon the proportion of the reduced space as to the
entire demised premises before reduction.
Failure of Lessor to comply with such laws, orders and regulations within
a reasonable time, but in no event more than one hundred twenty (120) days,
shall be considered constructive eviction and Lessee shall then have the right
to terminate this lease upon thirty (30) days' written notice of its intent to
terminate this lease.
(4)
Condition of Premises: Lessor represents that no notice of building code
violations have been received effecting the leased premises, and acknowledges
continued responsibilities for all building code violations.
(5)
Compliance with Law: Lessee shall, at Lessee's expense, comply promptly
with all applicable statutes, ordinances, rules, regulations, orders and
requirements in effect during the term or any part of the term hereof
regulating the use by Lessee of the Premises. Lessee shall not use or permit
the use of the Premises in any manner that will tend to create waste or a
nuisance, or, if there shall be more than one tenant of the building containing
the Premises, which shall tend to unreasonably disturb such other tenants.
(6)
Binding Effect; Choice of Law: Subject to any provisions hereof
restricting assignment or subletting by Lessee this Lease shall bind the
parties, their personal representatives, successors and assigns. This Lease
shall be governed by the laws of the State where the Premises are located.
(7)
PROHIBITION. In the event of the enactment hereafter of any law,
ordinance, rule, ruling or regulation prohibiting the use of Leased Premises
for any one or more of the purposes for which they are hereby leased, then and
in that event, Lessee at its option, may terminate this Lease without the
payment of any money, and all liability either of Lessor or of Lessee hereunder
shall cease from and after the date such prohibition becomes effective and any
unearned rent paid in advance by Lessee shall be refunded to it.
(8)
ARTICLE --COMPLIANCE WITH APPLICABLE LAWS.
Lessee shall obey and comply with all laws, ordinances, rules and
requirements of all legally constituted authorities when making any
replacements of or repairs or improvements to the Property. Lessee shall also
be responsible for making any repairs, alterations, changes or additions to the
Property which may be required to conform the same to such laws, ordinances,
rules or requirements, and any and all revisions thereof and updating of
requirements thereunder.
(9)
The Lessee shall obey and comply with all laws, ordinances, rules and
requirements of all legally constituted authorities when making any repairs or
improvements to the demised premises or which in any way affect the operation
of the Lessee's business on the demised premises, it being understood, that the
Lessee shall also be responsible for making any repairs, alterations, changes
or additions to the Property which may be required to conform the same to such
laws, ordinances, rules or requirements.
(10)
The Lessee shall obey and comply with all laws, ordinances, rules and
requirements of all legally constituted authorities when making any repairs or
improvements to the Premises or Property, or which in any way affect the
operation of the Lessee's business on the premises, it being understood, that
the Lessee shall be responsible for making only such structural changes in the
Property which may be required to conform the same to such laws, ordinances,
rules or requirements as a direct result of any modifications made to the
Property by Lessee.
(11)
Lessee shall obey and comply with all laws, ordinances, rules and
requirements of all legally constituted authorities when making any
replacements of or repairs or improvements to the property. Lessee shall also
be responsible for making any repairs, alterations, changes or additions to the
Property which may because of Lessee's particular and specific use thereof, be
required to conform the same to such laws, ordinances, rules or requirements,
and any and all revisions thereof and updating of requirements thereunder.
Lessor hereby agrees to perform any work and to provide any materials which may
be necessary to cure any violations of building, zoning or like laws and
regulations, which violations exist as of the date of this Agreement.
(12)
Law Applicable. This Lease shall be construed and enforced in accordance
with the laws of the state where the Leased Premises are located.
