RENEWAL OR EXTENSION


(1)
     Renewal Options:  (a) Provided that Lessee is in possession of the demised
premises, and that this lease is not previously cancelled or terminated by
either party as in this lease provided, by operation of law or otherwise, and
further provided that Lessee has faithfully complied with and performed all of
the covenants and conditions in this lease on its part to be performed during
the term, and any extension of said term, and is not in default at the time of
exercise of this option, then Lessor and Lessee covenant and agree that Lessee
shall have the option to extend the term of this lease for ____________________
years commencing at the expiration of the term of this lease, upon the same
terms, covenants and provisions herein set forth except for rent as hereinafter
provided.  The option for each of said Renewal Terms shall be exercised by
Lessee giving Lessor not less than ninety (90) days notice of intention so to
extend the term prior to the expiration of the term of the lease.
     (b) The annual rental rate payable hereunder during the renewal term shall
be at ___________ dollars per square foot.

(2)
     Lessee is hereby granted the option to renew this lease for an additional
______ year term provided that notice of exercise of said option is given by
Lessee to Lessor prior to ___________________.  All provisions of this Lease
applicable to the original term thereof shall apply with equal force to the
extended term.

(3)
     Renewal:  The Lessee may, at its option, extend the term of this lease in
accordance with the following schedule:
     Each of said options shall be exercised by the Lessee giving notice by
mail to the Lessor at least ______ days before the expiration of the then
existing term.

(4)
     EXTENSION OPTION:  So long as this Lease has not been terminated for any
reason, the Lessee at its sole option, shall have the right to extend the term
of this Lease for an additional term of ______ years beyond its original term
on written notice prior to _______________________ at the rental of ___________
per month on ________ square feet or if the expansion option has been 
exercised, the rental shall be _________ per month for ________ square feet.
As a consideration for renewal, Lessee will be allowed to occupy the premises
for the first ____ months of the renewal term at no charge.  Rental obligations
on the renewal term would commence on ____________________________.
     Escalation of taxes and operating costs during the renewal term will not
apply until the commencement of the _____ lease year of the renewal term, using
the first lease year of the renewal term as the new base year.  Operating and
tax escalation will be computed on the same basis as during the first lease 
term, (but computed from the new base year) and Lessor will supply a new tax
base figure, and a new operating cost base rate for the first lease year of the
renewal term to which the __________________ Consumer Price Index will be
applied.

(5)
     Provided this lease is still in effect and has not been terminated for any
reason and provided that LESSEE notifies LESSOR in writing on or before the day
of _________________, 19 ______, of LESSEE'S election so to do, the LESSEE is
hereby given the right, at LESSEE'S option, to extend the term of this lease 
for an additional period of five (5) years from the ______ day of ____________,
19 _____, to and including the ______ day of ________________, 19 _____, at the
same rental and upon the same terms and conditions as set forth herein for the
original term hereof.  In the event the LESSEE shall have exercised its option
of extension for an additional term of five (5) years as aforesaid and provided
this lease is still in effect and has not terminated for any reason, and
provided further that the LESSEE notifies the LESSOR in writing on or before 
the ______ day of _______________, 19 _____, of its election so to do, the
LESSEE is hereby given the further right, at LESSEE'S option, to extend the
lease for a second and successive term of five (5) years from the _____ day of
___________________, 19 _____, at the same rental and upon the same terms and
conditions as set forth herein for the original term hereof.

(6)
     OPTION TO RENEW:  (Optional Clause--Change Base Year for Escalations).
     (a)  Lessee shall have the option to renew the term of this lease for a
period of _____ years beginning upon the expiration of the initial term,
provided that Lessee, at least sixty (60) days prior to the expiration of the
initial term, gives Lessor written notice of its intention to exercise such
option.
     (b)  Provided the initial option to renew shall have been exercised,
Lessee shall have the further option to renew the term of the lease for a
second renewal term of _____ years beginning upon the expiration of the first
renewal term, provided that Lessee, at least sixty (60) days prior to the
expiration of the first renewal term gives Lessor written notice of its
intention to exercise such option.
     (c)  Any such renewed term shall be at a rent of _________________________
and shall otherwise be subject to all the agreements, covenants, and conditions
set forth in this lease, except the base year as recited in Tax Escalation
(    ), Utility Escalation (    ), Insurance Escalation (    ) shall be changed
to _______.

(7)
     RENEWAL OR EXTENSION:  Lessee shall have the option to renew and extend
the term of the lease for a period of ________ years beginning upon the
expiration of the initial term, provided that Lessee, at least ninety (90) days
prior to the expiration of the initial term, gives Lessor written notice of its
intention to exercise such option.  Provided the initial extension option shall
have been exercised, Lessee shall have the further option to renew and extend
the terms of the lease for a second renewal term of ________ years beginning
upon the expiration of the first renewal term, provided that Lessee, at least
ninety (90) days prior to the expiration of the first renewal term, gives
Lessor written notice of its intention to exercise such right.
     Any such renewed and extended term shall be at a rent of _________________
___________________ and shall otherwise be subject to all of the agreements,
covenants, and conditions set forth in this lease.

(8)
                                 LEASE RENEWAL

     THIS AGREEMENT, made on ____________________, 19_____, between ___________
_________________________ (hereinafter called "Lessor"), and __________________
____________________ (hereinafter called "Lessee"),

     WHEREAS Lessor and ___________________________ entered into a lease
agreement dated _________________________ for certain real property located at:

     WHEREAS Lessor and Lessee desire to renew and extend the aforesaid lease

     1.  That said lease dated ________________________ is renewed and extended
for a term of ______ years beginning _______________________________ and ending
________________________________ at an annual rental of ____________ payable in
advance in equal monthly installments of ______________________________________
     That this renewal of lease shall be subject to all of the covenants,
agreements, and conditions in the aforesaid lease dated ________________ except
as hereinabove stated to the contrary.
     IN WITNESS WHEREOF, Lessor and Lessee have caused this agreement to be

     Option to Renew.  If Lessee shall timely and faithfully perform all of the
terms, covenants and conditions of this Lease, and be in possession of the 
Leased Premises, Lessee, by giving written notice thereof on or before October
1, 1991 to Lessor, may exercise an option to extend the term for an additional
term of fifteen (15) years, upon all of the terms, covenants and conditions
contained in this Lease, except that the annual rental during the additional
term shall be increased to the sum of _________________________________________
plus increases, if any, in real estate taxes and insurance over that paid in 
the base year (1977) as more fully set forth in Article _____ and Article _____
hereof.

                              SUPPLEMENT TO LEASE

     THIS AGREEMENT, made on _____________________, 19_____ between ___________
______________________________ (hereinafter called "Lessor") and ______________
_____________________________ (hereinafter called "Lessee");
     W I T N E S S E T H:
     WHEREAS, the Lessor and Lessee entered into a lease agreement dated ______

________________ which lease provides that it is for a term of __________ years
beginning on the first of the month following the date on which Lessee is given
complete and undisturbed possession of the leased premises; and
     WHEREAS, the Lessee was given complete and undisturbed possession of the
leased premises on __________________________.
     NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
     1.  That the term of said lease shall be for ______ years beginning ______
______________ and ending ______________________ at an annual rental of $______
______, payable in advance on the first day of each month in equal monthly

     Except as herein stated to the contrary, all of the covenants, agreements,
and conditions contained in said lease dated _____________, are hereby ratified

ARTICLE      --TENANT'S OPTION TO EXECUTE LEASE

Lessor acknowledges receipt of ____________________ and other good and adequate
consideration from Lessee at the time of Lessor's signing this Agreement and
Lease and for this consideration, gives to Lessee a period ("Option Period") of
___________________ days from this date to secure appropriate approval from its
corporate officers before Lessee shall sign this Agreement and Lease.  Lessee
may, by payment to Lessor of _________________, on or within said _____________
days extend the option period hereof for an additional ____________ days beyond
the original __________ days, and during said second _____________ days, Lessee
may, by payment to Lessor of an additional ___________ extend such period for a
further ____________ days.  In the event Lessee sends (in the manner for giving
notice hereunder) a fully executed copy hereof to Lessor prior to the 
expiration of the Option Period or extended Option Period, all moneys paid
hereunder shall be credited to the first rents due hereunder.  If Lessee fails
to so send a fully executed copy hereof within the option or extended option
period, all moneys paid hereunder shall be forfeited to Lessor, this Agreement
and Lease shall be of no further force and effect, and all rights and claims of
either party against the other shall cease and terminate.

(12)
     Expansion Option:  So long as this Lease has not been terminated for any
reason, Lessee at its sole option, shall have the right to lease the adjacent
________ square feet as shown on the attached floor plan, any time during the
term of this Lease or extensions thereof, on six month's prior written notice
to Lessor.  The rental rate on the expansion space will be the rate in effect
at the time the additional space becomes part of the leased premises.

(13)
     Lessor agrees that it will with all reasonable dispatch, upon written
notice given by the Lessee, enlarge the building upon the demised premises with
individual units therein as specified in said written notice, provided, 
however, that no enlargement of the building shall be required unless the
remainder of the Lessee's term under this lease, exercised option included,
shall be for not less than 5 years from the date of said notice and such
enlargement shall be for not less than 1,000 square feet at any one time.  In
no event shall any such enlargement be required to extend beyond the property
demised herein or be in violation of any zoning or building restrictions then
in effect.
     The enlargement shall upon completion become a part of this demise subject
to all of the terms and provisions hereof.  The rental for said additional
space shall be a sum equal to $_________ (_____________________________) per
square foot per year of additional net floor area inside of exterior walls, 
plus that percentage of said sum as is equal to the percentage increase in cost
of living between the date of execution of this lease and the date of notice of
said expansion, said comparative costs of living to be determined from the
wholesale (Primary Market) Price Index of the U.S. Department of Labor, Bureau
of Labor Statistics.

     Lessor agrees that it will with all reasonable dispatch, upon written

     If, however, Lessor's interest in said lease shall have been acquired by a
mortgagee or other purchaser at a foreclosure sale, the failure of Lessor's
successor claiming by, through or under foreclosure of a mortgage, to perform
upon receipt of Lessee's notice shall not be a cause for cancellation of this
lease by Lessee.  The Lessee, in the event of such succeeding Lessor's failure
to perform, shall have the right to enlarge the building at its own expense and
to occupy and use the enlarged area free of additional rent for the balance of
the lease term, inclusive of option term, except that Lessor shall then be 
under no obligation to make structural repairs on the enlarged portion and
Lessee shall be responsible for the real estate taxes assessed on the
additional building space as provided in paragraph (   ) of this lease.  The
Lessee shall protect Lessor against liens arising from said construction by
Lessee.

(15)
                           LESSEE'S OPTION TO EXTEND

     Lessee shall have, and is hereby given an option to extend the term hereof
for __________________________________________________ under the same terms and
conditions contained in this Lease, except, that, in lieu of the rent provided
in Section _______ for the original term, Lessee shall pay during said extended
terms: _________________.
     Such options may be exercised only (i) upon notice in writing to Lessor 
not earlier than one (1) year, and not later than six (6) months prior to the
end of the preceding term; (ii) if Lessee is not then in default hereunder; and
(iii) if the preceding term has not theretofore been terminated.
     All such annual rentals during the extended periods as set forth in 
Section _____ shall be payable in advance, in installments equal to one-twelfth
(1/12th) of the applicable annual rental commencing on the first day of each
such extended term.

(16)
ARTICLE      --RENEWAL OPTION
     Provided Lessee is not in default under any of the terms and conditions of
this Agreement and Lease, Lessee shall have the option to renew this Agreement
and Lease for a further period of ______ years under the same terms and
conditions except that the annual rental shall be adjusted to an amount equal 
to the percentage of the Fair Market Value of the premises which would be paid
in twelve (12) equal monthly installments if said Fair Market Value were the
principal sum of a twenty (20) year mortgage bearing interest at the then
prevailing rate charged with respect to mortgages of commercial real estate in
the area.  In the event the Lessee should exercise said option to renew, the
Fair Market Value of the premises shall be determined by an appraisal done by a
member of the American Institute of Real Estate Appraisers at the Lessor's
expense.  In the event that Lessee is not satisfied with this appraisal, Lessee
may, at its expense, obtain another appraisal and both parties will select a
member of the American Institute of Real Estate Appraisers to make a third
appraisal, the expense of which will be shared equally by the parties.  The
average of the three appraisals will be considered the Fair Market Value of the
premises for the purpose of this article.  Written notice of Lessee's option to
renew the term hereof shall be given in writing by the Lessee to the Lessor not
less than ______ months before the expiration of the original term of this
Agreement and Lease.
     The Lessee may at its election renew the term of this Agreement and Lease
for a period of _____ years from the expiration of the original term upon all
the conditions and covenants and for the rental herein set forth.  Written
notice of Lessee's option to renew the term hereof shall be given by the Lessee
to the Lessor not less than _____ months before the expiration of the original
term of this Agreement and Lease as set forth in Article _____ hereof and any
renewal period thereof.
