QUIET ENJOYMENT

Quiet Enjoyment: Lessor covenants that Lessor has a fee simple absolute estate in the premises and that the same is subject to no encumbrances, liens or defects in title affecting the premises or the rights granted Lessee in this Lease, other than those specifically referred to in Exhibit A attached. Lessor further covenants that there are no restrictive covenants, agreements, zoning regulations, ordinances, statutes or land use regulations which will prevent the performance of any construction work required to be done hereunder or which will prevent Lessee from conducting its usual business in the premises.

Lessor covenants that Lessee, upon paying the rent and performing the covenants herein undertaken on its part may quietly and peaceably have, enjoy and hold the premises and rights made appurtenant thereto hereunder except and other than those specifically referred to in Exhibit A for the full Term hereof without let or hindrance. Lessor further agrees to indemnify Lessee for and against any and all loss or damage of whatsoever kind that may result to Lessee on account of any failure in Lessor's right to make and execute this Lease or that may result in disturbance of quiet possession by Lessor, by persons deriving title from Lessor by reason of liens or encumbrances incurred or suffered by Lessor, or by reason of title paramount to Lessor.

QUIET ENJOYMENT: The LESSOR covenants and agrees that LESSEE, on paying said monthly rent and performing the covenants herein, shall and may peaceably and quietly hold and enjoy the said leased premises.

QUIET ENJOYMENT: The Lessor agrees that the Lessee, keeping and performing the covenants herein contained on the part of the Lessee to be kept and performed, shall at all times during the existence of this lease, renewals or extensions peaceably and quietly, have, hold, and enjoy the leased premises, without suit, trouble or hindrance from the Lessor, or any person claiming under Lessor.

Quiet Enjoyment: The Lessor shall put Lessee in possession of the Premises at the beginning of the term hereof, and the Lessee, upon paying the rent and observing the other covenants and conditions herein upon its part to be observed, shall peaceably and quietly hold and enjoy the Premises during the term or any extension thereof and Lessee shall peaceably surrender the Premises at the end of the term in the same condition as when delivered to it, ordinary wear and tear, and damage caused by elements or other casualty excepted.

Quiet Enjoyment: Lessor covenants that the Lessee shall, upon paying the rent and observing the other covenants and conditions herein upon its part to be observed, peaceably and quietly hold and enjoy the Premises during the term of this lease or as it may be extended without hindrance, ejection, molestation by the Lessor, any person or persons claiming under the Lessor or any other tenant of the Lessor.

Covenant of Quiet Enjoyment. Lessor further agrees that at all times when Lessee is not in default under the terms of and during the term of this Lease, Lessee's quiet and peaceable enjoyment of the demised premises shall not be disturbed or interfered with by Lessor or by any person claiming by, through or under Lessor.

Quiet Enjoyment and Surrender of Premises: Lessor covenants that Lessee, upon paying the rent and observing the other covenants and conditions herein upon its part to be observed, shall peaceably and quietly hold and enjoy the premises during the term of this lease or as it may be extended without hindrance, ejection, molestation by the Lessor, any person or persons claiming under the Lessor or any other tenant of the Lessor. Upon expiration of this lease, the Lessee shall surrender the Premises in same condition as existed at the commencement of the term except for normal wear and tear, repairs, restorations and maintenance to be performed by the Lessor hereunder and any improvements made by or for the benefit of the Lessee.

Quiet Enjoyment: The Lessor shall warrant and defend Lessee in the enjoyment and peaceful possession of the premises during the term of this Lease, and any extension period subject to all the terms, conditions and covenants to be observed and performed by Lessee.

Lessor agrees to put Lessee in possession of said premises at the commencement of the term and agrees that Lessee, upon paying the rent reserved and performing the covenants and conditions hereof, shall peaceably and quietly have, hold and enjoy said premises and all appurtenances thereof during the full term without any interruption by Lessor.

TITLE: Lessor covenants and warrants that it has lawful title and right to make this lease, that it will maintain Lessee in full and exclusive possession of the leased premises, and that if Lessee shall pay the rent and perform all the agreements, covenants, and conditions required by this lease to be performed by it, Lessee may freely, peaceably, and quietly occupy and enjoy the leased premises without molestation or hindrance, lawful or unlawful, of any person whomsoever.

(10)

QUIET ENJOYMENT. Lessor warrants its right to create the leasehold established herein and covenants that Lessee shall have peaceful, quiet and uninterrupted possession of LEASED PREMISES during the term and any extensions of this Lease.

(11)

Quiet Enjoyment. So long as Lessee is not in default under the covenants and agreements of this Lease, Lessee's quiet and peaceable enjoyment of the Leased Premises shall not be disturbed or interfered with by Lessor or by any person claiming by, through or under Lessor.
