APPURTENANT RIGHTS


(1)
     Appurtenant Rights:

     Parking Area:  Lessor agrees to and shall construct and maintain on or 
adjacent to the premises a parking area containing space for at least ________
________________ (   ) tractors and trailers and _______________________ (   ) 
automobiles.

     Ingress and Egress:  Lessee shall have full unimpaired access to the pre-
mises at all times.

     Spur Tracks:  Lessee shall have the nonexclusive right to use the rail-
road spur track servicing the premises, subject to Lessee's entering into a 
separate agreement with _________________________________________________.

(2)
     Parking:  Lessor hereby covenants and agrees to provide Lessee with a 
minimum of ________ reserved parking spaces in the parking areas provided for 
the building.  Lessor will repair, maintain, remove snow and illuminate the 
parking area at Lessor's own cost and expense.  Lessor hereby agrees to erect 
signs provided by Lessee reserving the parking spaces granted to Lessee under 
this paragraph.  Lessor shall bear all costs of maintaining said reserved 
parking signs.

(3)
     Parking:  Lessor shall furnish for the exclusive use of Lessee, its 
agents, employees and invitees, ______________ designated parking spaces lo-
cated on or immediately adjacent to the Leased Premises as shown in green on 
Exhibit (   ).

(4)
     Parking:  Lessor hereby grants to Lessee, during the term of this lease 
or any extension thereof, the exclusive use for Lessee's visitors, employees 
and agents of ____________________________ parking space in or adjacent to the 
Building; and Lessee shall have an option at any time or times during the term 
or any extension thereof to use additional parking spaces at the monthly 
rental of __________________________.  Such options may be exercised by Lessee 
by notice to Lessor in writing designating the number of spaces desired, and 
the parking spaces shall be made available to Lessee as soon as possible 
thereafter to the extent that Lessor may do so without violating any other 
leases or agreements theretofore made by it.

(5)
     Parking:  Lessor agrees to furnish and guarantee to Lessee the use of 
_________________ parking spaces designated for the use of the tenants in the 
building of which t(e premises are a part.  In addition, should the expansion 
option set forth in Paragraph (   ) be exercised, Lessor shall furnish and 
guarantee to Lessee the use of ________ additional parking spaces.
